This document represents an open offer of LLC Salus Ukraine (hereinafter – the Exonator) that is addressed to all visitors of https://htsystems.com.ua (next –Site) to еnter into public offer agreement of using the site (hereinafter – the Agreement and / or the offer) taking into account the following terms and restrictions.

Terms:

Site, Portal, Landing–web-site available at https://htsystems.com.ua (including all its subdomains, sections, web pages), managed by the Administration. 

Offer– an appeal to site visitors published on the site with a direction to use the site under the conditions contained in this Agreement, including all its appendices.

Acceptance of offer - a full and unconditional acceptance of the terms of the Agreement by means of operations made by the User, having the intention of using the Site.

The parties – in this Public offer agreement means the user who accepted the terms of this offer and Executor.

Services – paid and free functional possibilities, available to the Customer on the site provided by the Executor (or its partners) on the terms of this offer, and also taking into account the conditions of the provision of these services published on the site, which is an integral part of this Public offer Agreement.

Registration - successful passing of a special procedure by a site user, as a result of which he transfers his personal data (account name / login, e-mail address and password) to the performer and by which the User can identify (authorize) the User and provide the Services ordered by the User.

1. General provisions

1.1. This Agreement is public offer in accordance with article 633 of the Civil Code of Ukraine and in case of acceptance of the conditions set forth below, any  User undertakes to comply with the terms of this Agreement.

1.2. According to this offer, the Executor (independently and/or with the involvement of third parties) offers the User to use the Site and provides all services available on the Site on the terms set out in this offer.

1.3. The real offer that is available to users by their first visit of the site, and at any further using is a confirmation (acceptance) of the unconditional consent of the user with all conditions of this offer, as well as acceptance of them for execution.

1.4. If user has been disagreed to any terms or conditions or clause of this offer, the user shall not use the site and shall leave it.

1.5. This offer that is published on the site in free access, is the official document of the performer and has the appropriate legal force.

2. Порядок надання послуг

3. Rights and obligations of the Executor

3.1. The Executor shall make every effort to fulfill its obligations under this offer, including the normal operation of the website services and the non-distribution of personal data provided to the third parties by the User, except for cases provided by the laws of Ukraine.

3.2. The Executor may periodically set and change restrictions on the use of the site services, for example, the maximum number of days of keeping ads, etc.

3.3. The Executor shall have the right at any time to modify or terminate the Services of the Site or any part thereof with or without the User's notice, without any responsibility for such changes or termination.

3.4. To maintain the high quality of its services, the Executor reserves the right to carry out short-term technical works on the site with termination of certain services or the entire site. The Executor is obliged to make efforts to minimize the possible negative consequences of such suspension for users.

3.5. A performer without any notice of the user may restrict access to the Site by the user if the user violates the terms of this offer or the terms of use of the Services. The executor reserves the right at any time to delete or deactivate the user account, as well as to delete all user information, without being responsible for his or her actions before the user and third parties.

3.6. The Executor has the right at any time to require the User to confirm the data specified by him at the time of registration and to invite in this regard the confirming documents (in particular copies / certified copies of documents certifying the person), which failure to do so may be equal to the provision of unreliable information. If the user's data specified in the documents provided to the user does not match the data specified at registration, or if the data specified at registration does not allow identification of the user, the User has the right to refuse access to the User

3.7. The Executor is obliged to keep account of the balance of the prepaid funds of the user on his personal account within three years from the date of payment of the prepayment. A personal account is opened at the registration of the user on the site and access to funds (viewing the balance, making payments) on it the user receives only after authorization (entering his correct login and password).

3.8. The Executor has the right to remove any information of the user on the request of the right-holder or competent state authorities, and also on his own discretion, if it does not comply with the principles and principles of public morality, or contradicts editorial policy, or is prohibited by the legislation of Ukraine. The decision on removal is final and cannot be appealed.

3.9. The Executor shall have the right to transfer the Site with all its services and contents, including personal information of the Users, to his successor on any legal grounds. The transmission and notification of users about such transmission is carried out in accordance with the requirements of the current legislation of Ukraine.

3.10. The Executor has the right to make changes to this Public offer Agreement unilaterally without prior notification of the user. Changes take effect immediately after their publication on the site in the section of the offer.

3.11. The Executor has the right to change the cost, types of services and terms of their validity, to add new services, to stop and change current services, and the prepaid service will be provided at the tariff, which existed on the date of payment.

3.12. The Executor has the right to inform the user in the ways available to him (by e-mail, phone, etc.) about changes on the site and promotions.

4. Rights and obligations of the Executor

4.1. The User has the right to register on the site for the purpose of further use of the site and its services by filling in the form with the indication of a valid e-mail address, to which only the user, chosen password, and other data necessary for registration on the site has access. After that, the user receives a link to the e-mail address specified by him, which is necessary to complete the registration and confirm the e-mail address of Korystuvach.

4.2. The User is obliged to keep his/her credentials in secret on the site (login and password) and in case of compromise of the credentials he/she must immediately change the password, and in case of impossibility, to contact the executor in the way available to him for further actions.

4.4. The User has the right to make an advance payment to his personal account. Funds from the user's personal account may be spent within 3 years from the date of their payment for any services on the site. In case of failure to use the pre-payment after 3 years, the Executive shall not guarantee the user's access to the respective amount of the pre-payment and may be debited from the user's account.

4.5. The User is not allowed to place on the site materials and / or information of an advertising or commercial nature, except for sections of the site, specially for this purpose.

4.6. The User is prohibited from using the Site in illegal and prohibited activities. User agrees to comply with laws, including without spam, harmful software, links to WEB-sites that may harm anyone, and other actions that do not comply with the laws of Ukraine.

4.7. The User is not allowed to use the Site materials in whole or in part without reference to the Site.

4.8. The User has the right to apply to the performer with complaints and suggestions concerning the work of the site

4.8. The User has the right to contact the Executor with complaints and suggestions concerning the site operation through available contact points for communication, which will be considered within two working days from the moment of their receipt or from the moment of receipt of the full information on the nature of the complaint.

5. Responsibility of the Executor and User

5.1. The User understands and agrees that he is responsible for any information and/or materials posted on the Site provided by the applicable laws of Ukraine.

5.2. By placing information and/or materials on the site, the User guarantees that he has all the necessary legal rights to place information and/or materials on the site. If the user does not have the right to post any information and/or materials on the site, the user is obliged not to post such information and/or materials and is responsible for the content, placement and use of such information and/or materials.

5.3. The User is responsible and takes steps to ensure the security of his account (including control of the e-mail address). The User shall immediately notify the Contractor of any unauthorized use of his or her account by third parties.

5.4. The User is responsible for all actions performed on the Site using the Account on behalf of the User (using his login, e-mail address and login password), including actions with monetary funds on his personal account and correctness of payment details. The User is allowed to use the site services only with his/her own login, e-mail address and password.

5.5. The User himself bears expenses related to making money transfers while paying for the services of the site.

5.6. The Executor is not responsible for the accuracy or correctness of the information provided by the user during registration.

5.7. The Executor is not responsible for the content of the information posted by the users (including announcements, hyperlinks, responses, comments, etc.).

6. Privacy Policy

6.1. The Executor ensures the security of user data from loss, disclosure and unauthorized access of third parties using security technologies, implementation of the restricted access mode and control of access to data by authorized employees.

6.2. The database of "Users" users is registered in accordance with the established procedure by the personal data base in the value used in the Law of Ukraine "on Protection of Personal Data".

6.3. By using the Site, the User grants the Executor the full right (permission) to process his personal data in order to ensure the realization of business activities and conclusion of agreements, in accordance with the Civil Code of Ukraine, the provision and/or transfer of personal data to third parties in the order and on the grounds, Determined by the applicable laws and internal documents of the performer without the need to inform the user of the actions with personal data and knows the location of the personal data base, which contains his personal data, its purpose and name, and the location of the artist.

6.4. In the event of a change in the designated purpose of personal data processing, the User shall not object to the processing of personal data if such necessity is determined by the applicable laws and/or internal documents of the executive, and shall also inform, That he has read the Law of Ukraine "on Protection of Personal Data" dated June 1, 2010 N 2297-VI with all changes and amendments to it, in particular, about his rights defined by this Law. In addition, the user confirms the fact of a written notification about the inclusion of his personal data in the respective personal data database, the purpose of the data collection and the persons to whom his personal data is transferred.

6.5. Personal data, except for non-personal data, access mode provides restricted information.

6.6. The Executor will disclose personal and other user data solely for the purposes of using the Site and providing the Services. The User agrees to disclose the information provided to all users of the Site, subject to the terms and limitations set forth by this offer.

6.7. In accordance with the requirements of the current legislation of Ukraine, the Executor may disclose User Data to third parties for the purposes related to their legal rights and powers, including to state bodies and institutions, in accordance with the established procedure of providing such Data.

6.8. The use of personal data for historical, statistical or scientific purposes, as well as in aggregated form, is carried out only in the unspecial form. The use of the personal data of the user in a non-personal form does not require its additional consent.

7. The circumstances of the unoverthrown force (force majeure)

7.1. The Parties shall be exempt from liability for failure to fulfill (improper performance) their obligations under this offer in cases where force majeure occurs, such as: Fire, flood, earthquake.

7.2. The occurrence of force majeure circumstances continues the term of fulfillment of the obligations on the offer for the period, which is equal to the term of force majeure circumstances. The party is obliged to inform the other party about force majeure within 10 calendar days from the moment of occurrence of such circumstances. The certificate of the authorized state body of Ukraine is a proper confirmation of the existence of force majeure circumstances.

8. Dispute resolution

8.1. All discrepancies arising from this Agreement shall be resolved through negotiations between the Parties.

8.2. In case of failure to reach agreement, disputes shall be settled in court in accordance with the current legislation of Ukraine.

9. Validity period of the offer

9.1. The offer shall enter into force from the moment of its placement on the site and shall enter into force until the Parties have fully fulfilled their contractual obligations assumed by each party in the order determined by this offer.

9.2. In case of early termination and/or termination of the agreement for some reason and grounds, the money received as a prepayment to the user is not returned.

9.3. If one or more of the provisions of this offer are declared invalid in the manner prescribed by law, it will not mean that other provisions of the offer are invalid.
